Terms & conditions of agreement between the Organizer, Generis Group, and Sponsors for attendance at an Event.
THIS AGREEMENT WITNESSES that in consideration of the promises and the mutual agreements and covenants herein contained and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Generis Global Partners Corp. (“GG Partners”) and the Sponsor hereby agree as follows:
1.1 EVENT PARTICIPATION
The GG Partners’ planned event (the “Event”) will be held at the venue and time set out in the “Sponsors: Book Now” registration order event details. The Sponsor is hereby entitled to attend and participate at the Event and shall be entitled to the rights provided in accordance with the Sponsor’s selected package on the “Sponsors: Book Now” registration order booking form (the “Sponsor Selected Package”).
The Sponsor agrees to abide by the Event terms, conditions and rules, as may be revised from time to time, in addition to all other terms and conditions contained in the herein Agreement.
1.3 COVID/PANDEMIC RULES AND REQUIREMENTS
COVID/Pandemic Protocols: GG Partners is committed to taking all reasonable steps to protect the health and safety of all attendees of the Event. Therefore, GG Partners may, in its sole and absolute discretion, implement and enforce health and safety protocols related to COVID-19 for the Event, which may include (but not be limited to): (a) symptom screening, (b) vaccination screening, (b) frequent handwashing/sanitizing, (c) masking protocols, and (d) physical distancing. The Sponsor shall be responsible for having a full and complete understanding of all travel and other Covid/Pandemic restrictions put in place by any Federal, State/Provincial or Local government authorities, and for ensuring that the Sponsor’s attendees and representatives comply with all relevant restrictions for attendance at the Event. Due to the changing/evolving nature of government restrictions and medical recommendations, in advance of the Event GG Partners will provide the Sponsor with its written Event specific COVID/Pandemic protocols (the “Event Protocols”) by email. GG Partners will also and by post the Event Protocols on the Event website.
Acknowledgement and Form Requirements: Notwithstanding the forgoing, the Sponsor acknowledges and understands that GG Partners cannot fully prevent the Sponsor’s representatives and attendees from exposure to, or the contracting or spreading of COVID-19 while participating in the Event. Therefore, by choosing to enter onto the Event premises, the Sponsor’s representatives and attendees each acknowledge that they may be exposing themselves to and/or increasing their risk of being exposed to, contracting or spreading COVID-19, and they voluntarily choose to accept such risk. In relation to the forgoing, GG Partners may require (as a part of its Event Protocols) that Event attendees sign venue specific COVID-19 waivers/releases, and a GG Partners specific ‘Release and Waiver of Liability, Assumption of Risk and Indemnity Agreement Relating to COVID-19’ in a form required by GG Partners, prior to permitting individuals on the Event premises.
Failure to Comply: GG Partners shall have the right to deny Event entry to, or remove from the Event, any individual as a result of any failure to strictly adhere to the Event Protocols or other local or venue specific COVID-19 requirements. In the event that a Sponsor or representative is denied entry to, or removed from, the Event for failure to adhere to the Event Protocols or other local or venue specific COVID-19 requirements, neither the Sponsor nor the individual attendee will be eligible for any refund or return of Event Fees, and GG Partners shall not be liable for any related special or consequential damages.
2.1 EVENT FEES
The event fees (herein called the “Event Fees”) payable by the Sponsor shall be the aggregate of the following:
- The selected package fee (the “Sponsor Selected Package Fee”), plus any and all applicable taxes, as set out in the “Sponsors: Book Now” registration order booking form;
- The service charge fee (the “Administrative Fee”), plus any and all applicable taxes, as set out in the “Sponsors: Book Now” registration order booking form;
2.2 PAYMENT/REFUND OF EVENT FEES
Event Fees shall be paid and satisfied as follows:
- By payment of a deposit in the amount of 55% of the Total Fees & Service Charges stated on this form immediately upon execution of this Agreement, and the balance of Event Fees shall be due and owing to GG Partners no later than ninety (90) days prior to the Event Date.
- If execution of this Agreement shall occur less than ninety (90) days prior to the Event date, the Sponsor shall render to GG Partners (or as GG Partners may otherwise direct) the full amount of Event Fees payable hereunder upon execution of this Agreement.
- The Deposit is payable in U.S. Dollars, and shall be paid by way of cash, credit card, direct bank transfer or certified cheque payable to Generis Global Partners Corp. upon execution of this Agreement.
GG Partners reserves the right to refuse entry to the Sponsor or its representatives at the Event and/or to withhold any information, communications, services, brochures, or any other benefits to be derived under the herein Agreement and the Event itself, in the event of non-payment of any portion of Event Fees.
3.1 CANCELLATION OF ATTENDANCE/PARTICIPATION BY SPONSOR
The Sponsor shall immediately notify GG Partners of cancellation of their participation at the Event. In the event GG Partners is notified in writing of such cancellation by the Sponsor not less than sixty (60) days prior to the Event date, the Sponsor shall only be liable for payment to GG Partners of 55% of total Event Fees. In the event GG Partners is notified in writing of such cancellation by the Sponsor less than sixty (60) days prior to the Event date, the Sponsor shall be liable for payment to GG Partners of 100% of total Event Fees. For certainty, reference to the term “Event date” in this paragraph means the originally scheduled first day of the applicable Event, as indicated at the time of the signing of a Sponsor Booking Form or online sponsor registration.
3.2 CANCELLATION OF EVENT BY GG PARTNERS
GG Partners shall have the right, in its sole and absolute discretion, to cancel or change the Event date, itinerary, venue, speakers, meetings, and or bookings. This includes changing the venue to hold the Event virtually. In the event of cancellation of the Event, GG Partners shall reimburse the Sponsor all Event Fees paid by the Sponsor unless GG Partners reschedules the Event to a date within a reasonable period of time (i.e. within 24 months) following the originally scheduled Event date. In the event GG Partners reschedules the Event to a date within a reasonable period of time (i.e. within 24 months) following the original Event date, any Event Fees paid by the Sponsor shall be converted to a non-refundable credit (a “Non-Refundable Credit”) towards the rescheduled Event.
4.1 SPONSOR REPRESENTATIVES
The Sponsor shall advise GG Partners upon booking of the specified number and identity of representatives in attendance at the Event. The Sponsor shall ensure that its specified number and identity of representatives shall be in attendance at the Event, and that the said representatives are informed of Event rules, terms and conditions. The Sponsor shall ensure that all of its representatives act in a respectful, courteous and professional manner. The Sponsor shall notify GG Partners, in writing, immediately upon becoming apprised of any change or amendment to the specified number and identity of attending representatives, and in any event, not less than sixty (60) days prior to the Event date.
Sponsor agrees to indemnify GG Partners against all losses, claims, suits and demands arising from injury, damage or loss to persons or property arising in any way from or related to:
- the Sponsor’s attendance and participation at the Event;
- the conduct, statements and actions of the Sponsor and/or its representatives; and,
- any other act or omission reasonably attributed to the Sponsor and/or its representatives, except when such injury, loss or damage is occasioned by the negligence or wilful misconduct of GG Partners, its employees, or agents.
GG Partners shall provide Sponsor as soon as is reasonably possible, a program (the “Itinerary”) containing a list of all attendees expected at the Event, as well as meetings, bookings, speakers and planned sessions. While GG Partners shall strive in good faith to follow the Itinerary, GG Partners reserves the right, without notice to the Sponsor and within its sole and absolute discretion, to cancel and or change the Itinerary, including any planned meetings, bookings, speakers and sessions. Further, while GG Partners will endeavor to arrange meetings and planned sessions, GG Partners does not guarantee any specific meeting or appointment.
5.2 PROMOTIONAL MATERIALS
GG Partners will advise Sponsor of marketing/promotional opportunities at the Event and Sponsor shall supply and set-up its own marketing/promotional brochures at its own cost. Sponsor agrees not to display any marketing/promotional brochures and or other materials which may be offensive, inappropriate, illegal and/or which may result in an infringement of any trademark, copyright and/or any other intellectual property right. While GG Partners reserves the right, in its sole and absolute discretion, to remove from display any marketing/promotional brochures and information, the Sponsor is responsible for ensuring all its marketing/promotional brochures and information are appropriate for display and in all respects, legal. Sponsor hereby accepts complete responsibility for the content of its marketing/promotional brochures and other materials, and hereby further agrees that GG Partners will be in no way responsible or liable for any of the Sponsor’s marketing/promotional activities or in any way related to the Sponsor’s attendance at the Event. Sponsor acknowledges that, by virtue of the evaluation of and the decision to enter into this Agreement, and subsequently as a result of attendance and participate at the Event itself, Sponsor will be exposed to or have access to certain information, content and materials which may contain trademarks, copyright and/or be subject to other intellectual property rights (hereinafter collectively called “Event Property”). Sponsor agrees not to use, replicate, modify, adapt and or distribute any Event Property, unless compelled to do so by law or court order.
In the event that any provision herein or part thereof shall be deemed void or invalid by a court of competent jurisdiction the remaining provisions or parts thereof shall be and remain in full force and effect.
No covenant or condition of the Agreement can be waived except by the written consent of GG Partners and the forbearance or indulgence by GG Partners in any regard whatever shall not constitute a waiver of the covenant or condition to be performed by the Sponsor to which the same may apply.
Any notice required or permitted to be given under this Agreement must be in writing OR as otherwise provided below. Such notice shall be deemed to have been given on the day of delivery if delivered or on the second business day following the mailing, if mailed. 6.3 SUCCESSORS & ASSIGNS
All of the terms and provisions in this Agreement shall be binding upon and shall ensure the benefit of the parties hereto and their respective successors and assigns. The Sponsor shall not assign any rights hereunder, without leave; however, such leave shall not be unreasonably withheld by GG Partners to the assignment.
6.4 TIME OF ESSENCE
Time shall be of the essence of this Agreement.
6.5 GOVERNING LAW
This Agreement shall be construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein and shall be treated in all respects as an Ontario contract.
This Agreement may be executed, and shall be deemed to be accepted by the Sponsor through submission of a completed online “Sponsors: Book Now” registration order booking form and notation therein that the Sponsor confirms its agreement to the full terms and conditions contained herein.
7.2 SPECIAL OR CONSEQUENTIAL DAMAGES
Notwithstanding anything contained herein, GG Partners shall not be liable to the Sponsor for special or consequential damages or damages for loss including, without limitation, loss of business, profits, anticipated savings, goodwill or data arising directly or indirectly from any breach of this contract, fundamental or otherwise or from any tortious acts or omissions of its employees or agents. In no event shall the liability of GG Partners exceed the value of the Event Fees paid by Sponsor to GG Partners under this Agreement.
7.3 CORPORATE AUTHORITY
The Sponsor has good right, full corporate power and absolute authority to enter into this Agreement and has taken all necessary or desirable actions, steps and corporate and other proceedings to approve or authorize, validly and effectively, the entering into, and the execution, delivery and performance of, this Agreement.
7.4 COMPANY LOGO/DISCLOSURE
GG Partners agrees to abide by the Personal Information Protection and Electronic Documents Act, S.C. 2000, c. 5 (“PIPEDA”), and to only collect, use or disclose the Sponsor’s personal information by fair and lawful means. In this regard, the GG Partners agrees to protect your personal information through appropriate security measures. Sponsor’s personal information shall be held in GG Partners’ database and Sponsor shall have the right to review the Sponsor’s personal information collected, and to ask that same be corrected, if inaccurate. Sponsor agrees and consents that GG Partners is entitled to obtain the Sponsor’s company logo from the Sponsor’s company internet website (or such other internet site) for branding purposes, unless otherwise notified in writing by the Sponsor. Sponsor agrees that personal information and details provided by the Sponsor may be shared and made available by GG Partners to others entities and third parties for the purpose of Event planning, marketing and operations, unless GG Partners is otherwise notified in writing by the Sponsor not to disclose same. GG Partners agrees to act reasonably by only disclosing such information reasonably required for such purposes. In the event Sponsor does not wish for GG Partners to disclose information, Sponsor may contact GG Partners at email@example.com.
The captions of the Sections hereof shall be for convenience of reference only and shall in no way define, limit or describe the scope or intent thereof.
8.2 ENTIRE AGREEMENT
This Agreement including the “Sponsors: Book Now” registration order booking form constitute the entire agreement between the parties and supersedes all prior agreements, representations, warranties, statements, promises, information, arrangements and understandings, whether oral or written, express or implied, with respect to the subject matter hereof. None of the parties hereto shall be bound or charged with any oral or written agreements, representations, warranties, statements, promises, information, arrangements or understandings not specifically set forth in this Agreement or in the schedules. The parties hereto further acknowledge and agree that, in entering into this Agreement, they have not in any way relied, and will not in any way rely upon any oral or written agreements, representations, warranties, statements, promises, information, arrangements or understandings, express or implied, not specifically set forth in this Agreement or in such schedules. No supplement, modification, waiver or termination of this Agreement shall be binding unless executed in writing by the party to be bound thereby. GG Partners may update these terms at any time without prior notice. If these terms are modified, then GG Partners will post the modified terms on the GG Partners website, and such terms will be effective as of the time of such posting. Use of any Non-Refundable Credit after any modification to these terms shall constitute consent to such modification.
